Taskville Terms of Use

1. Acceptance of Terms

By accessing or using TaskVille ("taskville.co," the "Service"), operated by TaskVille, Inc. ("TaskVille," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and Accounts

You must be at least 13 years old and legally capable of forming a binding contract.

You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

You must keep your account information accurate and up to date.

You may not create multiple accounts to circumvent plan limits, usage restrictions, or beta access quotas.

3. Description of the Service

TaskVille is a gamified AI-powered virtual office platform where users create projects, hire and manage AI agents, and use those agents to perform real tasks such as file creation, web research, email drafting, social media publishing, calendar management, image and video generation, and other automated workflows. The Service includes multi-agent orchestration, agent scheduling, persistent agent memory, document storage, and 250+ external tool integrations via MCP (Model Context Protocol) and Composio.

4. Subscriptions, Energy, and Diamonds

4.1 Credit Model

TaskVille uses a dual-credit system:

Energy (⚡): Consumed per agent interaction (messages, tool calls, scheduled tasks). Each subscription plan provides a monthly energy allocation that is restocked on each billing cycle.

Diamonds (💎): A fixed pool included with your subscription plan, used to hire AI agents. Each agent has a diamond cost. When you fire (dismiss) an agent, the diamonds are returned to your pool. You may reallocate diamonds freely among agents at any time.

4.2 Subscription Plans

Startup Plan ($19/mo): 6,000 energy/month, 30 diamonds, access to Core Agents.

Company Plan ($39/mo): 13,500 energy/month, 90 diamonds, access to Core and Legendary Agents.

Tycoon Plan ($79/mo): 30,000 energy/month, 210 diamonds, access to Core Agents, Legendary Agents, and Custom AI Agents.

All plans include: multi-agent orchestration, 250+ integrations (MCP), file creation and web search, email and calendar tools, image and video generation, persistent agent memory (RAG), social media publishing, project workspaces, and agent scheduling.

4.3 Energy Add-Ons

You may purchase additional energy packs through the in-app vending machine at any time. Energy add-on purchases are separate from your subscription and are non-refundable.

4.4 Billing

Payments are processed by Stripe. TaskVille does not store full payment card data.

Charges, invoices, and subscription status are managed in-app.

Subscriptions renew automatically on a monthly basis until canceled.

4.5 No Refunds

Unless required by applicable law or expressly stated otherwise, all subscription fees, energy add-on purchases, and other charges are non-refundable.

5. Beta Access

TaskVille is currently in beta. Access may be limited to a fixed number of new users per day.

Beta features, pricing, plan allocations, and agent availability are subject to change at any time without prior notice.

We may modify, suspend, or discontinue beta features at our discretion.

6. AI Agents and Custom Agents

6.1 Pre-Built Agents

TaskVille offers 40+ pre-built AI agents with distinct roles, personalities, and toolkits. The availability and capabilities of pre-built agents may change as we update the platform.

6.2 Custom Agents

Depending on your plan, you may create unlimited custom AI agents with your own tools, webhook integrations, and configurations. You are solely responsible for the actions performed by custom agents you configure, including the accuracy, legality, and appropriateness of their outputs.

6.3 Agent Outputs

AI agent outputs (text, files, images, emails, social media posts, etc.) are generated by third-party large language models and tools. TaskVille does not guarantee the accuracy, completeness, or suitability of any agent output. You are responsible for reviewing and validating all agent outputs before use, publication, or distribution.

7. Workspaces, Projects, and Messaging

Workspaces and Projects: You may create projects, upload files, and link third-party documents (e.g., Google Docs, Google Sheets). Access to linked documents depends on your sharing settings with the third-party provider.

Agent Messaging: Each message or interaction with an AI agent may consume energy. Conversations, memory, and context are stored to provide continuity and personalization within your account.

Fair Use: You agree not to automate or script usage to artificially accrue benefits, circumvent plan limits, overload the Service, or interfere with other users' access.

8. User Content and Documents

8.1 Ownership

You retain ownership of all documents, uploads, files, and content you submit to the Service ("User Content").

8.2 License to TaskVille

You grant TaskVille a limited, non-exclusive, worldwide license to host, process, store, display, and transmit your User Content solely as necessary to operate, maintain, and improve the Service. This license terminates when you delete your content or close your account, except as required for backups or legal compliance.

8.3 Prohibited Content

You agree not to upload, create, or distribute content that is:

Illegal, fraudulent, or in violation of any applicable law or regulation.

Infringing on any third-party intellectual property, privacy, or publicity rights.

Harmful, threatening, abusive, harassing, defamatory, or obscene.

Designed to exploit, harm, or endanger minors in any way.

Malicious code, malware, or content intended to disrupt the Service.

9. Acceptable Use

You agree not to:

Attempt to access accounts, data, or systems without authorization.

Interfere with or disrupt the Service, its servers, or its infrastructure.

Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service.

Use the Service to train machine learning models, build competing products, or create derivative datasets without prior written permission from TaskVille.

Misrepresent your identity, spam, or harass other users or AI agents.

Use agents to send unsolicited communications, spam, or illegal content through connected third-party services (email, social media, etc.).

Circumvent or attempt to circumvent usage limits, beta access quotas, or security measures.

10. Third-Party Services and Integrations

The Service integrates with third-party services including, but not limited to: Stripe (payments), Google Workspace (Docs, Sheets, Slides, Calendar, Gmail), Instagram, Composio, Supabase, OpenRouter, and various MCP-connected tools. Your use of these third-party services is governed by their respective terms and policies. TaskVille is not responsible for the availability, accuracy, or actions of third-party services.

11. Intellectual Property

11.1 TaskVille IP

The Service, including its user interface, workflows, agent templates, agent personalities, branding, game mechanics, visual design, and underlying technology, is owned by TaskVille, Inc. and protected by applicable intellectual property laws.

11.2 Restrictions

You may not copy, modify, distribute, sell, lease, create derivative works of, or resell the Service or any of its components without prior written consent from TaskVille.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TASKVILLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT USER CONTENT WILL BE SECURE OR NOT LOST.

AI AGENT OUTPUTS ARE GENERATED BY THIRD-PARTY MODELS AND MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE. TASKVILLE IS NOT LIABLE FOR ANY DECISIONS MADE OR ACTIONS TAKEN BASED ON AGENT OUTPUTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TASKVILLE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER ARISING FROM CONTRACT, TORT, OR OTHERWISE.

IN NO EVENT WILL TASKVILLE'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNTS PAID BY YOU TO TASKVILLE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless TaskVille and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

15. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, pose a risk to the Service or other users, or for any other reason at our discretion.

You may stop using the Service and cancel your subscription at any time through your account settings.

Upon termination, your right to use the Service ceases immediately. Sections intended to survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will remain in effect.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms will be resolved in the state or federal courts located in Delaware, unless otherwise required by applicable law. You agree to submit to the personal jurisdiction of such courts.

17. Changes to the Service or Terms

We may modify the Service, these Terms, plan pricing, or plan features at any time. Material changes will be communicated in-app or by email. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

18. Miscellaneous

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and TaskVille regarding the Service.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. TaskVille may assign its rights and obligations without restriction.
